Terms and Conditions of Sale

These Terms and Conditions ("Agreement") apply to all design services and sales of products by Dundren & Voss, a brand of Fieldstone Studios LLC (“we,” “our,” or “Seller”). By placing an order, the purchaser (“you,” “your,” or “Customer”) agrees to be bound by the terms below.

1. Conditions of Sale

Unless otherwise agreed in writing by an authorized representative of Fieldstone Studios LLC, any differing or additional terms proposed by Customer in any form, including purchase orders or written communications, are expressly rejected and shall not become part of this Agreement.

Customer’s acceptance of any product or services shall be deemed conclusive evidence of acceptance of these Terms. Any quote or order acknowledgment issued by Seller is conditioned on Customer’s acceptance of these Terms.

2. Acceptance of Orders

Quotes are valid for 30 days unless otherwise stated. Orders are binding upon written confirmation by Seller and may not be canceled or modified without Seller’s written consent. Cancellations, if approved, may incur fees.

All prices are those set forth in Seller’s quote. Taxes, duties, and charges are the Customer’s responsibility unless a valid exemption certificate is provided. Buyer agrees to indemnify and hold Seller harmless from any liability arising from tax noncompliance.

3. Terms of Payment

Unless otherwise stated, payment terms are 50% due at order placement and the remaining 50% upon shipment. Services may be invoiced monthly or upon completion, and payment is due within 30 days of invoice.

Late payments incur a 1% monthly service charge. If collection is required, Seller is entitled to recover all associated legal and administrative costs. Seller reserves the right to withhold shipments to delinquent accounts or those deemed at risk of default.

4. Shipping

Shipping is prepaid and added to the invoice unless otherwise specified. Seller selects the carrier and reserves the right to consolidate shipments. Title transfers to Customer upon delivery to the carrier.

Estimated shipping dates are not binding. Seller is not liable for delays or resulting damages. Claims for transit damage must be filed directly with the carrier by Customer.

5. Returns

All returns require written approval and a Return Materials Authorization (RMA) issued by Seller. RMAs must be requested within 30 days of shipment. Custom or altered products are not returnable.

Approved returns are subject to a minimum 35% restocking and inspection fee. All return shipments must be prepaid. Additional deductions may apply for freight and condition.

6. Order Cancellation

Order cancellations must be in writing and are subject to Seller’s approval. Custom orders may not be canceled if materials have been ordered. Minimum cancellation fee is 25% of the order value, and additional costs may apply if the order has shipped or been prepared for shipment.

7. Specifications

Voltage and usage conditions are the Customer’s responsibility. Product specifications for custom items must be confirmed in writing. Catalog dimensions and features may change without notice. Seller does not warrant compliance with individual or project-specific performance requirements unless agreed in writing.

8. Design Modifications

Seller reserves the right to change, discontinue, or improve products without notice. Materials may be substituted with equal or superior alternatives at Seller’s discretion.

9. Natural Material Disclaimer

Products using natural materials such as wood will vary in appearance due to natural growth characteristics. These variations—including grain, color, and texture—are not considered defects.

By purchasing, Customer acknowledges and accepts these natural variations, which may differ from samples or photographs.

10. Limited Warranty

THIS LIMITED WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—including but not limited to implied warranties of merchantability or fitness for a particular purpose.

11. General Warranty

Products are warranted to be free from defects in materials and workmanship for one (1) year from the shipment date.

12. Warranty Exclusions

Warranty does not cover:

• Repairs/alterations made outside Seller’s facility

• Improper installation, use, or storage

• Damage from accidents, power surges, or environmental conditions

• Third-party components (e.g., drivers, controls, bulbs)

Warranty coverage extends only to products manufactured by Dundren & Voss/ Fieldstone Studios LLC.

13. Special Warranty – LED Luminaires

Dundren & Voss lighting products use integrated low-voltage (5V or below) LED systems designed for accent and ambient applications. We warrant that these integrated LED components will be free from material and workmanship defects under normal indoor use for a period of one (1) year from the original date of shipment.

This warranty excludes failures due to:

• Misuse, overvoltage, improper installation, or third-party components

• Cosmetic wear (e.g., dimming, color shift)

• Labor, installation, or removal costs

Claims must be made within the warranty period with proof of purchase. At our discretion, we may offer repair, replacement, or credit. No other warranties apply.

14. Warranty Claims

Defective products must be reported within 30 days of discovery. If approved, Seller will repair or replace the product at its discretion. An RMA is required before any product is returned. Labor costs are not reimbursed.

15. Exclusive Remedy

The remedies described above constitute the sole and exclusive remedies for any breach of warranty or defect in products.

16. Limitation of Liability

IN NO EVENT SHALL SELLER BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, revenue, business interruption, or damage to other equipment or property.

Seller’s total liability under any legal theory shall not exceed the price paid for the product giving rise to the claim. This limitation shall survive any failure of an exclusive remedy.
